Hello KSER Board, Staff, Volunteers and Members,

I am writing to express my concern for the proposed slate standing for election/reelection to the KSER Board of Directors on June 9, 2009.

My main concern is that half of these individual all have one organization affiliation in common, the United Way.
I have no problem with the United Way as an organization, they do great work on behalf of the community.
I am concerned that our Board of Directors and Nomination Committee are loading the KSER Board of Directors with employees and individuals that have a direct affiliation with the United Way.

Our current KSER President, Karen Crowley is Vice President, Impact & Resource Development for United Way of Snohomish County, is standing for reelection.
Our current KSER Vice President, Brenda Mann Harrison was recognized as Campaign Coordinator of the Year for United Way of Snohomish County, is serving her current term.

Up for election are two new candidates both with United Way affiliation.
Pam Somers, is employed by the United Way as AP Specialist, United Way of Snohomish County, working with Karen Crowley.
Miriam Driss served as a Loaned Executive for United Way of King County

This election will bring the total number of KSER Directors to 10, in which 40% would have a direct relationship with the United Way.
I believe this infiltration by the United Way certainly creates a conflict of interest for these individuals. Is the United Way taking over KSER?

For example, Bruce Wirth, our General Manager sent an email just the other day requesting volunteers to participate in a studio production opportunity for the United Way.
Is the United Way paying for this service? Are they paying for the use of the KSER studios? How is KSER benefiting? Is KSER providing the United Way with free services?

Several months ago I attended a KSER Board Meeting when the issue of reappointing the current Directors, who mishandled last years election, was on the agenda.
This is why Karen Crowley and David Lenci are up for reelection, because they were appointed to the Board of Directors as a means to correct the election oversight from last year.

At this meeting I had said that I would be interested in serving on the Board of Directors again. I was told the Nomination Committee would contact me.
This did not happen. Was there an open invitation sent to volunteers and/or members? If there was, I never received it.
Am I to assume it was because I am not a United Way employee or someone who has not been recognized by the United Way?

I believe that there are many individuals in our community that could serve on the KSER Board of Directors.
Did the Nomination Committee contact anyone at Volunteers of America, The YMCA, League of Women Voters, Greenpeace, Snohomish County Arts Commission, or the City of Everett Cultural Commission?

I would still be willing to serve on the KSER Board of Directors, as the current bylaws allow me to do so as a volunteer member, but I am not on the ballot.
I guess I could be the Write-In candidate?

When I fill out my ballot this weekend, (the one that I will pick up at the station, as once again, volunteers were not mailed one) I will be voting NO for the current slate proposed by the Nominations Committee.

I share your concerns and have another--of which you may not be aware if you've not yet picked up your ballot: This is not a secret ballot; members are required to sign the ballot itself, which will be counted, presumably, by Board members!

HI Peter, et. al.,

First, I was surprised, Peter, to see your name omitted from the ballot, as I had heard you express - presumeably not just to me, but to the Board as well - your desire to rejoin the Board. I was looking forward to having someone on the Board who might act as a liason of sorts between the Board and the volunteers. (I don't see this as a major conflict of interests, certainly less so than the one that you mention in your email, Peter.)

I share this concern regarding the quite heavy presence of United Way affiliations among the candidates on the ballot. I am not well versed in Boards and their activities, however, it seems as if the ideal scenario for KSER is to have the current Board approach potential members from a wide variety of businesses and organizations from the community which KSER serves. Even more ideal would be to have potential members who are and have been KSER members - that is to say, Board members who actually understand and believe in KSER's mission and vision. 

Along the same lines, I was also surprised that KSER volunteers were being asked to produce materials for United Way - materials that seem to have no relationship to KSER's mission (although I could be wrong, as it is difficult to tell what the purpose of the interviews being produced for United Way was, as that was not made clear in the email requesting help with their production.) Here are a couple of thoughts regarding this reqest:

It seems to me that the KSER production studios should be used for KSER production. Recently, when attempting to reserve Production Room 1 for a KSER related interveiw, that there were no slots available. This Production Room time is at a premium, with an ever growing volunteer pool, new public affairs programming and ongoing Broadcasting classes. KSER's production activities need to take priority over other outside activities.

Does United Way, (whose budget I contribute to through my donations to KSER via my United Way Payroll Deduction) not have a budget for such things? 

Finally, are the hundreds and hundreds of hours of production work done on by volunteers on behalf of KSER less worthy of appearing on a resumé than production work done by KSER volunteers on behalf of United Way?! 
I support United Way and its presence in our community. I have donated to United Way for over 25 years through my work. I simply hope that KSER's affiliation with United Way does not begin to blur the lines between the important work that both KSER and the United Way are doing.

Thanks for sharing your concerns.

Couple corrections and clarifications since you all raise some important issues:

1. Re: studio time.
United Way IS paying for our studio time - at our usual commercial rate. We DO NOT LEND our studio to organizations or individuals who can afford to pay for our services. In fact, renting out our studio could be an important additional source of income for KSER. We do lend out our studio to those who cannot afford to rent time, such as local non-profits (like the Snohomish County Red Cross), but when someone does have the budget, we require payment for use of our studios, as is the case with United Way in this instance.

2. Re: Ballot mailing
Ballots were indeed sent to all the volunteers we were able to send them to, given the current state of our systems and our staff resources. Our membership database is still very new and is designed for fundraising, not managing volunteers. We have not yet set it up to handle the quite separate criteria used to generate voting lists.

Recognizing these potential problems in carrying out the election within the limits of our internal resources, we made ballots available for the past month at the station for all volunteers and members who did not received them in the mail, and we have been announcing that information a over the air for the past month. While sending out ballots was not a flawless process, I feel staff has made every effort to get ballots to eligible voting members (paid and volunteer) as requested by the Board.

Regarding questions about the balloting process, it is not in my authority to speak for the Board on that matter. I will let the Board Development committee address the concerns raised about the procedures involved.

It's clear that you all care deeply about KSER, enough to invest significant time and energy into making sure the station is on the right track. Everyone on staff and Board shares those feelings and we are doing all we can to act in the best interest of the station.

Thank you for your response.

I am glad to hear that the United Way is paying for the studio time at
commercial rates. This is appropriate. I believe that there should be a
written policy addressing this issue, so it is clear and not arbitrary.

Regarding the ballot mailing...

The KSER Bylaws clearly state how the election of directors are to take
place. Please note the following:

"Elections
Ballots as presented by the Nominations Committee will be submitted to the
Board of Directors 60 days prior to the Annual Meeting. Upon approval by the
Board of Directors, ballots will be mailed to all current members 30 days
prior to the Annual meeting. All votes received at the Annual Meeting shall
be counted and results will be announced at the Annual Meeting. Candidates
receiving the most votes shall be elected to the board corresponding to the
number of open seats. There shall be no proxy voting."

This years election is in 5 days and I have yet to receive a ballot via the
mail. I should have received it 25 days ago. NO EXCUSES!

This has nothing to do with limits of our internal resources. For some
reason, under the direction of this current Board, they seem to be incapable
of fulfilling their duties. Mailing ballots is not a staff responsibility,
it is the Boards!

If the Board delegated this responsibility to staff, then they should have
been prepared to assist staff to insure that all ballots did in fact get
mailed to all paying and volunteer members. NO EXCUSES!

Last year they botched it, and now it appears they have been botched again.

For goodness sake, they had a year to fix the problem to insure it didn't
happen again. I guess they believe that they don't have to follow the bylaws
as written, and make up their own rules.

Also, no where in the bylaws is it stated that voting members are required
to sign their ballots. Was there a change in the bylaws requiring this
action?

Any Bylaw changes must be provided to the membership and I do not recall
seeing or receiving any such proposed changes in the past seven years.

I would think that any proposed bylaw changes by the Board should have been
provided to the membership to insure transparency of the Boards actions.

I have yet to hear a response from anyone from the Board regarding my
concerns regarding the nomination process and the proposed slate of
candidates.

I do not believe that having three individuals with United Way affiliations
should be allowed to stand for election, bringing a total of four Directors
from one organization as it allows for cronyism and would create a poor
precedence for the KSER Foundation.

As Karen Pauley stated "the ideal scenario for KSER is to have the current
Board approach potential members from a wide variety of businesses and
organizations from the community which KSER serves."

I am still very concerned that the Nominations Committee chose to exclude me
as a potential candidate for the Board, even after the fact that I stated
openly at a Board meeting my interest in serving on the Board. Once I
expressed my interest, Karen Crowley in fact encouraged my participation.
Kari King was at this meeting and was aware of my interest. In fact Bruce,
you were there too.

Hello all-

By now I hope you’ve seen or heard an announcement about the KSER annual meeting beginning 7 p.m., Tuesday, June 9 at the KSER station. The meeting is open to all volunteers, members and the public. The main agenda item is the election of members to the KSER Foundation Board of Directors.

As chair of the KSER Board Development Committee, I want to let you all know about the following procedures put in place to make sure the vote is accurate, anonymous and secure.

Here’s the process we’ll follow.

1. Name verification: The name printed on each ballot will be verified against a current member list (which includes volunteers who have contributed 32 hours of volunteer time in the past 12 months) to ensure that the voter is an active member in good standing. Once verification has been made and the name checked off the list, the name will be removed from the ballot and saved. This verification will be done by two non-board member volunteers.

2. Ballot Count: The ballots (with names removed) will be given to the Board Development Committee, which includes Candace McKenna and myself, who will review each ballot and record the votes on a tally sheet. Having two individuals view and record each ballot will ensure accuracy.

Please note that both the name verification and ballot count will be done in the KSER Community Room in full view of all attending the meeting but in a manner that will protect the privacy of each voter.

As soon as the tally process is complete, results will be announced. Ballots and names will be sealed and kept until the next election.

Please remember that ballots must be delivered by mail to the station by 5 pm the day of the annual meeting, or in person before the board meeting begins at 7 pm.

I’d also like to give you a quick overview of how the Board Development Committee identified the two new candidates you see for election on the ballot. As part of a focused effort, the committee worked with staff, the board, and talked with volunteers to recruit potential candidates who could bring a wide range of skills and background to the board. 

Since early spring of this year:
• 20 potential candidates were identified and contacted (engineers, textbook authors, social worker, librarians, real estate professionals, HR professional, bookkeeper, educators, community activist, etc.)
• 15 engaged in serious consideration via email, phone, or in-person conversation with a KSER representative 
• 4 attended a board meeting (this is a requirement for consideration)
• 2 applied, completed the defined interview process that includes a board and staff interview and were ultimately put on the slate
• 2 committed to applying at a later date. 

The job of board recruitment and building relationships with community members, however, is continuous. As always, we welcome and encourage input.

OK, now you’ve really got me going...

Where in the bylaws of the KSER Foundation does it say that this election procedure is allowed?
The heavy hand of this Board is unbelievable!

The Bylaws state the following:

VII. ADVISORY COUNCIL AND STANDING COMMITTEEES
B. Standing Committees: The Board of Directors shall have the following standing committees with the power and authority as provided below: Executive Committee, Budget and Finance Committee, Nominations Committee, and Long-Range Planning Committee. All Committee meetings are to be open to the public. In addition, the Board of Directors may add additional committees as needed.
3. Nominations Committee: The Nominations Committee shall consist of three Directors including the secretary who shall be the chair and two non-board members. This committee shall nominate candidates for all open positions on the Board of Directors consistent with these bylaws. This Committee shall make its report to the Board before the annual meeting and elections.

So somewhere in this process, the Board of Directors created a Board Development Committee, for the purpose of vetting out candidates it deems suitable?
What happened to the Nominations Committee? Obliviously it doesn’t exist as they had no input in this process? Strange, especially since the Bylaws clearly state the process.
One thing is absolutely clear, all committee meetings are open to the public.
Did the Board Development Committee have open public meetings? I was not aware of any!

Throughout the process of the Mission and Vision and Strategic Planning process this past year, transparency was a proposed key outcome. 
It is more than clear that the Board Development Committee is not very transparent.
The comment that this was a focused effort I question? Which Board Directors, Staff and Volunteers participated? Oh, that’s a secret too because there were no public meetings, how’s that for transparency?
I now question even more, why was I not contacted by the Board Development Committee? Especially when I attended a Board meeting and made my interest in serving on the Board known in public.

As a past Board Member of the KSER Foundation, I have been associated with KSER before we went on the air in 1991.
I have been a volunteer with KSER longer than any current Board Director excluding maybe John Thielke.
I believe strongly in 90.7 KSER and its ability to serve our community.
I do believe that the Board of Directors is striving to improve the KSER Foundation, but I question the processes that have been implemented.
It concerns me that volunteers and members are not able to engage openly in developing these processes.
I have been at Board meetings where I have been told that I could not speak or participate in the topic or discussion, as I was not on the Board and could only voice my opinion during the 5 minute public comment period.
Community Radio should be an open and transparent process, not one of closed committees and arbitrary policies.

My concers were addressed adequately and I want to thank those who addressed them. I am not sure, however, whether the listserv is the correct vechicle through which to have asked them. Maybe someone can address the parameters of use of the listserv.

Not knowing those parameters, I will still make a suggestion. If there are other concerns regarding the issues being discussed, a meeting or conference phone call involving the principals involved, may be in order, the results of which, after being approved by all involved, could be posted later??

Hello, All.

A question has been raised about the process for amending the KSER Foundation By-Laws. Here is the current language in our by-laws regarding amendments. 

These Bylaws may be amended by the affirmative vote of two-thirds of the Directors, provided that at least ten days notice of proposed changes be given by the party or parties calling the meeting of the Board of Directors considering such proposed amendments; at any meeting of the Board of Directors, or without a meeting if consent or agreement in writing, including the text thereof, is signed by all Directors. Amendments will be announced to members either via direct mail or on the air by pointing listeners to a website. Copies of the proposed By-Law Amendments shall be posted on the KSER website and will be sent to members upon request.

This language has been in effect for many years. In 2007 we amended the by-laws by adding the following stipulation, required by our application for the frequency on Whidbey Island:

The above notwithstanding, the Bylaws of the Foundation shall not be amended in any manner that causes the Foundation to lose its qualifications as an established local entity and for local diversity of ownership under FCC Rules 73.7003(b)(1) and (2), or any successor provisions, for as long as the Foundation has an application for a new noncommercial educational radio station pending for Freeland, Washington, and, if applicable, for the holding period under FCC Rule 73.7005, or any successor provision.

Currently, there is a proposed amendment to this section of the by-laws that increases the requirement for notification from 10 to 15 days. I highly recommend that you review all the proposed changes currently posted on the website. As the process dictates, the board will be voting on these proposed amendments at Tuesday's meeting, following the election of new members. Announcements have been made on air regarding these changes, as required.

Just getting around to reading the day's slew of emails...

The Board meeting announcement I read on air said nothing about bylaw ammendments. I still listen quite a bit to the station--not as much as I used to, due to the numerous negative programming changes--and I never heard an announcement about such ammendments. Neither did I receive anything in the mail.

By the way, I think it's unfortunate that we no longer announce the Board meetings on the air (other than this one).

Oops...Well, I don't have time for all that. Besides, I think this is an extremely valuable discussion, "about important matters relevant to all KSER volunteers," quoting from the guidelines below. What could be more important to volunteers than the way the station is run, after all?? That said, I'll respect the direction and bow out now. See y'all Tuesday!

We need to share an unfortunate development about the KSER Board of Directors annual election. The ballot box, which has been kept locked since it was set up, was found unlocked on Saturday evening, and it is not possible to guarantee that the ballots were not compromised.

The executive and board development committees met this evening to discuss the best course of action to ensure a valid election. We have just finished this two-hour meeting and see two possible solutions.

Option 1:
Our preferred option would be to re-issue the ballots and hold a special election within 60 days which will include new processes to secure the ballots. The difficulty with this option is that current bylaws require the election take place at the annual meeting in May or June of each year and do not make any provision for other action.

Option 2:
The course of action most consistent with the bylaws would be to appoint the entire slate as presented on the ballot and hold our regular election next year. According to the current foundation bylaws, dated October 9, 2007, www.kser.org/download/kser_bylaws_revised_20071010_final.pdf: "Any vacancy occurring on the Board of Directors may be filled by the affirmative vote of the majority of the remaining Directors on recommendation of the Board Development Committee." 

The board is seeking input from our membership on these two options to make the best decision possible for KSER. The board will make this decision Tuesday night at the annual meeting.
